Terms of Service
Version 2026-05-24 · Last updated May 24, 2026
1. Who we are
These Terms govern your use of the Tenon software service ("Tenon", the "Service") provided by TODO: [LEGAL ENTITY] ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
The blank above will be filled in with the operating legal entity (company name, jurisdiction, registered address) once finalized.
2. The Service
Tenon is a quoting, estimating and invoicing tool for cabinetry, millwork and trade businesses. It includes AI-assisted features (description generation, drawing analysis, spreadsheet parsing) that use third-party AI providers.
The Service is provided on an "as-is" and "as-available" basis. We may add, change, suspend or remove features at any time without notice.
3. Your account
You must be at least 18 years old and able to enter binding contracts. You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account. Notify us immediately if you suspect unauthorized access.
4. Your content & data
You retain ownership of the estimates, drawings, client lists, pricing data, photos and other content you upload ("Customer Content"). You grant us a worldwide, royalty-free license to host, process, transmit, back up and display Customer Content solely to operate and improve the Service.
5. AI training license (important)
By using the Service you grant us a perpetual, irrevocable, worldwide, royalty-free license to use drawings you upload (including any AI-highlighted regions, annotations, captures and the descriptions generated from them) to train, fine-tune, evaluate and improve machine-learning models, including models we may make available to other users. Before any drawing is used for model training we will remove or obfuscate direct personal identifiers (client names, addresses, phone numbers, prices). Trained model weights and outputs are our property; the underlying drawing remains yours.
If you do not want a specific drawing used for training, do not upload it. We may in the future offer an opt-out toggle; until then, uploading constitutes consent.
6. Acceptable use
You agree not to:
- Upload content you do not have the right to upload, or that infringes third-party rights.
- Upload malware, illegal material, or content that violates privacy laws.
- Reverse-engineer, scrape, resell or sublicense the Service.
- Use the Service to build a competing product.
- Attempt to bypass usage limits, rate limits, or security controls.
We may suspend or terminate accounts that violate this section, with or without notice.
7. Pricing accuracy & business decisions
Tenon is a tool, not a quoting expert. Estimates, totals, rate calculations, AI-generated descriptions, material lists, and any other output are produced from the data and rates you enter and from probabilistic AI models. They may contain errors, omissions, mis-classifications, rounding artifacts, or outdated information.
You are solely responsible for reviewing every estimate, invoice, and AI output before presenting it to a client, signing a contract, or beginning work. Any decision to quote, accept a job, purchase materials, or commit to a price is your decision alone.
We are not liable for lost profit, under-bidding, over-bidding, missed scope, incorrect measurements, wasted materials, labor overruns, customer disputes, or any other financial loss caused by relying on the Service.
8. Data loss & backups
We make commercially reasonable efforts to back up your data, but we do not guarantee that your data will never be lost, corrupted, delayed in syncing, or temporarily unavailable. Causes outside our control include but are not limited to: cloud provider outages, network failures, browser crashes, your device going offline before unsaved changes sync, software bugs, and force-majeure events.
You are responsible for keeping your own copies of any data you cannot afford to lose (export to PDF/CSV regularly). We are not liable for any direct, indirect, incidental, or consequential loss resulting from data loss, corruption, downtime, or sync failures.
9. Third-party services
The Service relies on third parties (cloud hosting, AI model providers, email delivery, payment processors). Their outages, errors, price changes, or terms changes may affect the Service. We are not liable for third-party acts or omissions.
10. Fees, plans & refunds
Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice; continued use after a price change constitutes acceptance. Failure to pay may result in suspension or termination of your account.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY OR CUSTOMERS, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 3 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify and hold us harmless from any claim, demand, loss, damage, liability, cost or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) Customer Content you upload, (c) your violation of these Terms or any law, or (d) any quoting, pricing, contractual or workmanship dispute with your own customers.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. On termination your right to use the Service ends; the AI training license you granted under Section 5 survives.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
16. Governing law & disputes
These Terms are governed by the laws ofTODO: [GOVERNING LAW / COURTS - ALI TO PROVIDE], without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located inTODO: [GOVERNING LAW / COURTS - ALI TO PROVIDE], and you consent to personal jurisdiction there. Class actions are waived to the extent permitted by law.
